AMENDED AND RESTATED ASSET PURCHASE AGREEMENT
This Amended and Restated Asset Purchase Agreement (this "Agreement"), dated as of December 11, 2002, by and among DSL.net, Inc., a Delaware corporation (the "Purchaser"), and Network Access Solutions Corporation, a Delaware corporation (the "Company"), Network Access Solutions LLC, a Virginia limited liability company and wholly-owned subsidiary of the Company (the "LLC"), NASOP, Inc., a Delaware corporation and wholly-owned subsidiary of the Company ("NASOP" and together with the Company and the LLC, the "Seller") and Adelman Lavine Gold and Levin, a Professional Corporation, a Pennsylvania professional corporation (the "Deposit Escrow Agent"). The Purchaser and the Seller are sometimes referred to herein individually as a "Party" and, collectively as the "Parties"). Other capitalized terms used herein are defined in Article I.
WITNESSETH: -----------
WHEREAS, the Parties entered into an Asset Purchase Agreement dated as of October 16, 2002 (the "Original Agreement") relating to the purchase of certain assets and assumption of certain liabilities of Seller by the Purchaser in accordance with the terms set forth in the Original Agreement and in accordance with sections 105, 363 and 365 of Title 11 of the United States Code (together with the rules and regulations promulgated thereunder, the "Bankruptcy Code") and other applicable provisions of the Bankruptcy Code; and
WHEREAS, the Company and NASOP have commenced voluntary Chapter 11 cases, which are being jointly administered (the "Chapter 11 Case") in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court") and the Purchased Assets will be sold pursuant to an order of the Bankruptcy Court approving such sale under Section 363 of the Bankruptcy Code, and such sale will include the assumption by the Purchaser of the Assumed Liabilities under Section 365 of the Bankruptcy Code, and the terms and conditions of this Agreement; and
WHEREAS, the Seller desires to sell the Purchased Assets and to assign the Assumed Liabilities to further its reorganization efforts and to enable it to consummate a plan of reorganization in the Chapter 11 Case;
WHEREAS, in accordance with the Sale Procedures Order, the Auction was held on November 25 and 26, 2002 and in connection therewith the Purchaser amended its offer to revise the Purchase Price;
WHEREAS, the Seller determined that the revised Purchase Price as offered by the Purchaser was the highest and best bid at the Auction; and
WHEREAS, the Parties desire to amend the Original Agreement to, among other things, revise the Purchase Price, certain schedules hereto and such other terms as set forth in this Agreement. {PAGE}

NOW, THEREFORE, in consideration of the premises and the mutual promises herein made, and in consideration of the representations, warranties, and covenants herein contained, and for other good and valuable consideration described herein, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

ASSET PURCHASE AGREEMENT
THIS ASSET PURCHASE AGREEMENT ("AGREEMENT") is made as of October 7, 2002, by and among DALEEN TECHNOLOGIES, INC., a Delaware corporation ("Daleen"), DALEEN SOLUTIONS, INC., a Delaware corporation ("ACQUISITION SUB"), and ABILITI SOLUTIONS, INC., a Missouri corporation ("ABILITI").
RECITALS:
A. Abiliti is engaged in the business of providing operations and business support software systems to ensure revenue optimization, including event management, billing and rating software (the business of Abiliti and its subsidiaries as currently conducted and as proposed to be conducted is referred to herein as the "ABILITI BUSINESS").
B. Daleen and Acquisition Sub desire to purchase and Abiliti desires to sell the Purchased Assets (as hereinafter defined in Section 1.1) used in connection with the operation of the Abiliti Business (the "PURCHASE").
C. The parties hereto desire to cause the Purchase to be effected on the terms and conditions hereinafter set forth, subject only to the limitations and exclusions contained in this Agreement.
AGREEMENT
In consideration of the foregoing and the mutual agreements contained herein (the receipt and adequacy of which are hereby acknowledged), the parties, intending to be legally bound, agree as follows:
ARTICLE I. PURCHASE AND SALE TRANSACTIONS
Section 1.1. Purchase and Sale of the Purchased Assets. Upon the terms and subject to the conditions set forth in this Agreement, at the Closing (as defined in Section 1.10) and effective as of the Effective Time (as defined in Section 1.10), Abiliti shall sell, convey, assign, deliver and transfer to Acquisition Sub, free and clear of any Encumbrances (as defined in Section 4.6, and excluding Encumbrances listed on SCHEDULE 1.1), and Acquisition Sub shall purchase and acquire from Abiliti, free and clear of all Encumbrances (excluding Encumbrances listed on SCHEDULE 1.1), all of Abiliti's right, title and interest in and to all of Abiliti's properties and assets of every kind, nature and description existing on the Closing Date (as defined in Section 1.10), wherever such assets are located and whether real, personal or mixed, tangible or intangible, in electronic form or otherwise, and whether or not any of such assets have any value for accounting purposes or are carried or reflected on or specifically referred to in its books or financial statements (except those assets specifically excluded pursuant to Section 1.2), which assets shall include, without limitation, the following (collectively, the "PURCHASED ASSETS"):

EMPLOYMENT AGREEMENT WITH GORDON QUICK

The parties to this Employment Agreement (this "Agreement") are Daleen Technologies, Inc., a Delaware corporation (the "Company"), and Gordon Quick (the "Executive"). The parties wish to provide for the employment of the Executive as Chief Executive Officer of the Company as of the Effective Date. For purposes of this Agreement, the "Effective Date" shall mean the closing date under the Asset Purchase Agreement among the Company, Daleen Solutions, Inc. and Abiliti Solutions, Inc., dated October 7, 2002.
Accordingly, the parties, intending to be legally bound, agree as follows:
1. POSITION AND DUTIES.
1.1. TITLES; REPORTING; DUTIES. During the term of the Executive's employment under this Agreement, the Company shall employ the Executive and the Executive shall serve the Company as its Chief Executive Officer. In addition, the Executive shall serve as a member of Company's Board of Directors (the "Board"). As Chief Executive Officer of the Company, the Executive shall report to and otherwise shall be subject to the direction and control of the Board and shall have no other officer or employee of the Company of equal or senior rank or authority to him. Subject to the direction and control of the Board, the Executive shall have the authority and responsibilities customarily exercised by a Chief Executive Officer, including those duties and responsibilities specifically described in Appendix A to this Agreement. The Executive's duties, titles and responsibilities shall not be changed materially at any time without his consent; PROVIDED, that any change in the Executive's duties, titles and responsibilities as a result of a change in the size or activities of the Company shall not be subject to this sentence as long as such new duties, titles and responsibilities are substantially consistent with those of a chief executive officer of a business of like size and nature. The Executive shall use his best efforts to promote the Company's interests and he shall perform his duties and responsibilities faithfully, diligently and to the best of his ability, consistent with sound business practices. The Executive may be required by the Board to provide services to, or otherwise serve as an officer or director of, any direct or indirect subsidiary of the Company. The Executive shall comply with the Company's policies applicable to executive officers of the Company of which he is given advance written notice.
1.2. OUTSIDE ACTIVITIES. The Executive shall devote substantially his full working time to the business and affairs of the Company. Notwithstanding the preceding sentence, the Executive (a) may serve on the Board of Directors (or similar managing body) of one or more corporations or other entities, provided such service does not violate any other covenant or term of this Agreement, interfere with the performance of the Executive's duties for the Company or create a conflict of interest or the appearance of a conflict of interest with respect to the
