This CREDIT AGREEMENT (this "Agreement"), dated as of May 15, 2003 among BLOUNT, INC., a Delaware corporation ("Blount, Inc."), DIXON INDUSTRIES, INC., a Kansas corporation ("Dixon"), FABTEK CORPORATION, a Michigan corporation ("Fabtek"), FREDERICK MANUFACTURING CORPORATION, a Delaware corporation ("Frederick Manufacturing"), GEAR PRODUCTS, INC., an Oklahoma corporation ("Gear"), OMARK PROPERTIES, INC., an Oregon corporation ("Omark"), WINDSOR FORESTRY TOOLS LLC, a Tennessee limited liability company ("Windsor") (Dixon, Fabtek, Frederick Manufacturing, Gear, Windsor and Blount, Inc. are sometimes collectively referred to herein as "US Borrowers" and individually as "US Borrower");BLOUNT CANADA LTD., a Canadian corporation ("Canadian Borrower", and Canadian Borrower and US Borrowers are sometimes collectively referred to herein as "Borrowers" and individually as "Borrower"); the other Credit Parties signatory hereto; GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation (in its individual capacity, "GE Capital"), for itself, as US Lender, Collateral Agent for all "Secured Parties" under and as defined in the Collateral Agency Agreement, as Agent for US Lenders with respect to Loans and other credit made available to US Borrowers and as Agent for all Lenders with respect to all US Collateral that is Non-Shared Collateral, the other US Lenders party hereto from time to time, GENERAL ELECTRIC CAPITAL CANADA INC., a Canadian corporation ("GE Capital Canada"), for itself and as Canadian Agent for Canadian Lenders, and the other Canadian Lenders party hereto from time to time.
RECITALS
WHEREAS, US Borrowers have requested that US Lenders extend revolving and term credit facilities to US Borrowers of up to One Hundred Eighty-One Million US Dollars ($181,000,000) in the aggregate for the purpose of refinancing certain indebtedness of US Borrowers and to provide (a) working capital financing for US Borrowers, (b) funds for other general corporate purposes of US Borrowers and (c) funds for other purposes permitted hereunder; and for these purposes, US Lenders are willing to make certain loans and other extensions of credit to US Borrowers of up to such amount upon the terms and conditions set forth herein; and
WHEREAS, Canadian Borrower has requested that Canadian Lenders extend revolving and term credit facilities to Canadian Borrower of up to the US Dollar Amount of Nine Million US Dollars ($9,000,000) in the aggregate to provide (a) working capital financing for Canadian Borrower, (b) funds for other general corporate purposes of Canadian Borrower and (c) funds for other purposes permitted hereunder; and for these purposes, Canadian Lenders are willing to make certain loans and other extensions of credit to Canadian Borrower of up to such amount upon the terms and conditions set forth herein; and
WHEREAS, US Borrowers have agreed to secure all of their obligations and the obligations of Canadian Borrower under the Loan Documents by granting to (a) Collateral Agent, for the benefit of the "Secured Parties" under and as defined in the Collateral Agency Agreement, a security interest in and lien upon all of the Shared Collateral and (b) Agent, for the benefit of itself,

Alliant Techsystems Inc – or (i) the termination of a Plan described
in Section 4064 of ERISA.
"Escrow Agreement" means that certain Escrow Agreement dated as of
December 7, 2001 among Holdings, Blount, Inc., Alliant Techsystems Inc . and JP
Morgan Chase Bank.
"ESOP" means a Plan that is intended to satisfy the requirements of
Section 4975(e)(7) of the IRC.

This CREDIT AGREEMENT is dated as of June 29, 2001 and entered into by and among HARNISCHFEGER INDUSTRIES, INC., a Delaware corporation ("Borrower"), THE FINANCIAL INSTITUTIONS LISTED ON THE SIGNATURE PAGES HEREOF (each individually referred to herein as a "Lender" and collectively as "Lenders") and BANKERS TRUST COMPANY ("BTCo"), as administrative agent for Lenders (in such capacity, "Agent").
R E C I T A L S
WHEREAS, pursuant to the Confirmation Order (this, and other initially capitalized terms used but not defined in these Recitals, being used as defined in Section 1.1 below), Borrower and Debtor Subsidiaries have been reorganized in and have emerged from the Company Bankruptcy Proceeding; and
WHEREAS, upon this Agreement becoming effective in accordance with its terms, the Plan of Reorganization will become effective in accordance with its terms; and
WHEREAS, Borrower desires that Lenders extend certain credit facilities to Borrower, the proceeds of which will be used, among other things, to make certain cash payments with respect to certain prepetition claims in the Company Bankruptcy Proceeding, to refinance the DIP Facility and to replace outstanding letters of credit thereunder and under other credit facilities, to refinance certain other Indebtedness, to make certain intercompany loans and loans to Beloit as described below, and for working capital and other general corporate purposes of Borrower and its Subsidiaries, all in accordance with the terms and provisions herein; and
WHEREAS, Borrower has agreed to secure its Obligations hereunder and under the other Loan Documents by granting to Agent, on behalf of Lenders, among other things, a First Priority Lien on substantially all of its real, personal and mixed property located in any Approved Jurisdiction, including a pledge of all of the capital stock and other ownership interests of its Domestic Subsidiaries and 66% of the capital stock and other ownership interests of its first tier Foreign Subsidiaries; and
WHEREAS, each Domestic Subsidiary (other than Immaterial Subsidiaries) has agreed to guarantee the Obligations hereunder and under the other Loan Documents and to secure its guaranty by granting to Agent, on behalf of Lenders, among other things, a First Priority Lien on substantially all of its real, personal and mixed property located in any Approved Jurisdiction, including a pledge of all of the capital stock and other ownership interests {PAGE}
