As referenced in this Intercorporate Services Agreement:
KEYSTONE CONSOLIDATED INDUSTRIES, INC – the "Agreement"), effective as of
January 1, 2001, amends and supersedes that certain Intercorporate Services
Agreement effective as of January 1, 2000 between CONTRAN CORPORATION, a
