As referenced in this Purchase and Sale Agreement:
Simpson Thacher – shall have been terminated and the Transactions shall have been abandoned pursuant to Article VII hereof, the closing of the Transactions (the Closing) shall take place at the offices of Simpson Thacher & Bartlett LLP, at 10:00 a.m., New York City time, on the second Business Day after all of the conditions to the Closing set forth in Article
