                      EMPLOYEE INCENTIVE BONUS PLAN (EIBP)

ELIGIBILITY:

- VP and above employees not on EPS or revenue-based plans are eligible to
  participate in the EIBP Plan.

- Actual receipt of performance-based bonus requires being employed by VERITAS
  on date of payment.
